Welcome to UrbanChain Group. These Terms and Conditions outline the rules and regulations for the use of our services in Australia, including UrbanPass and associated services provided through urbanchaingroup.com, urbanpass.world and parkingbnb.world.
1. Definitions
• “We,” “Us,” “Our” refers to UrbanChain Group Pty Ltd.
• “You,” “Your” refers to the user or customer of our services.
• “Services” refers to smart parking, mobility solutions, EV charging, and associated services provided by UrbanChain Group.
2. Order Fulfillment Policy
1. Service Fulfillment Timeline:
• For all services provided via UrbanPass or associated platforms, the maximum fulfillment period is 14 days from the date of order confirmation or service agreement.
• Digital services such as account creation, software access, or subscription activation are typically fulfilled immediately upon successful payment and account verification.
2. Delayed Fulfillment:
• If fulfillment is delayed due to unforeseen circumstances, we will notify you promptly via your registered email or mobile number.
• You may choose to either wait for fulfillment or request a refund if services are not delivered within the 14-day period.
3. EV Charging and Parking Services:
• Access to EV charging stations and parking facilities booked through our platform will be made available immediately upon successful booking confirmation or vehicle recognition via the system provided by Us, unless otherwise stated in the booking details.
3. Pricing and Payment
1. Pricing. All prices are in Australian Dollars (AUD), unless stated otherwise. We reserve the right to change prices at any time before you place an order or access the Service.
2. Taxes. Prices may exclude taxes or duties unless explicitly stated. You are responsible for any applicable taxes, or duties imposed by your jurisdiction.
3. Payment Methods. We accept various payment methods (e.g., credit cards, bank transfers and e-wallets).
4. Late Payments. If payment is not received by the due date, we reserve the right to suspend or cancel your order or access to Services, and charge interest in accordance with applicable law.
4. Refund and Cancellation Policy
1. Refund Eligibility:
• Refunds will be processed if we fail to fulfill the service within the agreed 14-day timeframe.
• Refunds will be issued via the original payment method within 7 business days of approval.
2. Cancellation:
• Users may cancel services within the 14-day fulfillment period without penalties, provided no services have been accessed or utilized.
5. User Responsibilities
• Ensure that your account details are accurate and up-to-date.
• Adhere to local laws and regulations when using UrbanChain Group services.
• Report any technical issues or service disruptions promptly via our Support.
6. Intellectual Property
1. Ownership. We (or our licensors) retain all rights, title, and interest in any intellectual property relating to the Services, including but not limited to patents, trademarks, trade secrets, and copyrights.
2. License. Subject to your compliance with these T&C, we grant you a limited, non-exclusive, non-transferable license to access and use our Services for your internal business purposes.
7. Limited Warranty and Disclaimer
1. Warranties. We warrant that our Services shall substantially conform to our published specifications at the time of delivery. Any software is provided under the terms of a separate end-user license agreement if applicable.
2. No Other Warranties. Except as expressly stated, our Services are provided “AS IS,” and to the maximum extent permitted by law, we disclaim all other warranties, whether express, implied, or statutory, including merchantability or fitness for a particular purpose.
3. Limitation of Liability. To the fullest extent permitted by law, UrbanChain shall not be liable for any indirect, incidental, consequential, or special damages arising from or related to the use of our Services.
8. Termination
1. Termination by You. You may discontinue using our Services at any time by ceasing access or giving electronic or written notice of termination if relevant.
2. Termination by Us. We may suspend or terminate your access to our Services if we believe you have violated these T&C, or for any lawful reason with notice.
3. Effect of Termination. Upon termination, any rights or licenses granted to you under these T&C shall immediately cease. Sections intended to survive termination (e.g., liability, intellectual property) shall remain in effect.
9. Force Majeure
UrbanChain shall not be liable for any delay or failure to perform resulting from circumstances outside its reasonable control, including, but not limited to, acts of God, pandemic, natural disaster, war, terrorism, labor disputes, or governmental actions.
10. Changes to These T&C
We may modify these T&C at any time by posting revised terms on our website or by notifying you via email. Your continued use of our Services after such modifications constitute acceptance of the revised T&C.
11. Governing Law
These Terms and Conditions are governed by the laws of Australia. Any disputes will be resolved in accordance with Australian legal standards.
12. Miscellaneous
1. Entire Agreement. These T&C, together with any other legal notices or agreements published by us, constitute the entire agreement between you and UrbanChain regarding our Services.
2. No Waiver. Our failure to enforce any right or provision of these T&C will not be deemed a waiver of such right or provision.
3. Severability. If any provision of these T&C is held invalid or unenforceable, the remainder shall continue in effect to the maximum extent permissible.
